Auditors' Comments On Accounts

Pursuant to Rule 704(5) of the Listing Manual of the SGX-ST, the Trustee-Manager, FSL Trust Management Pte. Ltd., wishes to inform that the Independent Auditors of First Ship Lease Trust ("FSL Trust"), KPMG LLP (the "Auditors") have in their review report included an Emphasis of Matter on FSL Trust's condensed consolidated interim financial information for the period ended 30 September 2011. The review report of the Auditors remains unqualified.
