The above does not include the following on-going interested person transactions:
(a) the fees and charges payable by FSL Trust to FSLTM under the trust deed dated 19 March 2007; and
(b) the lease rentals, fees and charges receivable by FSL Trust under the lease agreements dated 5 July 2005 with Schoeller
Holdings Ltd in respect of containerships YM Subic and Cape Falcon,
which are deemed to be specifically approved by the unitholders upon subscription for the units at the initial public offering and
which are not subject to Rules 905 and 906 of the Listing Manual to the extent that there is no subsequent change to the rates
and/or bases of the fees charged thereunder which will adversely affect FSL Trust. However, the renewal of the said trust deed
and lease agreements will be subject to Rules 905 and 906 of the Listing Manual including any amendments to be made thereto.
Except as disclosed above and in the financial statements, there were no additional interested person transactions (excluding
transactions less than S$100,000 (US$69,444) equivalent) entered into up to and including 31 December 2007.
FSL Trust does not have any unitholders’ mandate for interested person transactions.
